1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the TeamFlow platform, including the website and all related services (collectively, the “Service”), provided by TeamFlow (“we,” “our,” or “us”).

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization (such as a sports club), you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old to create a TeamFlow account. Minors may be added as player profiles by a parent, guardian, or team coach, but may not register for their own account.

By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at privacy@teamflow.app if you suspect unauthorized access.

You may not create accounts using automated means, use another person's account without permission, or provide false information during registration.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

• Post or transmit content that is illegal, harassing, defamatory, obscene, or harmful to minors
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Use the Service to send unsolicited commercial messages (spam)
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, crawl, or extract data from the Service by automated means without our written permission
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service in any way that violates applicable local, national, or international law

We reserve the right to suspend or terminate accounts that violate these rules, without prior notice.

5. Safeguarding Obligations

If you create or manage a youth team (a team involving players under 18), you are responsible for ensuring that your use of the Service complies with applicable child safeguarding laws and regulations in your jurisdiction.

The Service provides safeguarding features (such as adult-minor messaging blocks and message audit logs) as tools to assist you. These features do not substitute for your own safeguarding policies, training, or legal obligations. TeamFlow is not responsible for safeguarding failures that result from misuse of the Service or failure to apply your organization's safeguarding procedures.

6. Content You Submit

You retain ownership of content you submit to the Service (messages, photos, documents, team data). By submitting content, you grant TeamFlow a limited, non-exclusive, royalty-free license to store, process, and display that content solely for the purpose of providing the Service to you and your team members.

You are solely responsible for the content you submit. You represent and warrant that you have all rights necessary to submit such content and that it does not infringe the intellectual property rights or privacy rights of any third party.

TeamFlow does not review content proactively, but reserves the right to remove content that violates these Terms or applicable law.

7. TeamFlow's Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by TeamFlow and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features.

8. Subscriptions and Payments

Certain features of the Service may require a paid subscription. Subscription terms, pricing, and billing details will be presented at the time of purchase. All fees are non-refundable except as required by law or as expressly stated in our refund policy.

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

9. Termination

You may close your account at any time from your account settings. Upon account deletion, your personal data will be removed in accordance with our Privacy Policy.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEAMFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

12. Governing Law and Disputes

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
